Terumo Corporation, a Tokyo-based medical technology company, has signed a definitive agreement to acquire OrganOx Limited for approximately $1.5 billion. Founded in 2008 as a University of Oxford spin-off, OrganOx develops advanced organ preservation devices using normothermic machine perfusion (NMP), which circulates oxygenated perfusate through donor organs at near-body temperature.

Its flagship liver NMP device, Metra, has received regulatory approval in the U.S., EU, UK, Canada, and Australia, and has been used in more than 6,000 transplant procedures worldwide.
